Procedure for Registering a Cyprus Limited Company
The applicant must first select the name of his/her company. To avoid similarity with other Company names, the applicant must propose at least three options in Greek or Latin characters. The word Limited (LTD) will be added to the end of the company name.
After the company name has been approved the applicant must present a detailed report of the company activities, the initial shareholders, the amount of the share capital, the company regulations etc., in order to prepare the Memorandum of Articles and Association.
According to the law, every company must appoint at least one Shareholder. The Shareholder can either be an individual or a legal entity.
By law, every Cyprus Limited Company is required to appoint at least one Director and one Secretary. It is advised that most of the Directors be Cyprus Residents or individuals permanently residing in Cyprus so as to benefit from the low tax rate of 12, 5% due to the fact that management and control of the company will occur in Cyprus. It is also recommended that the appointed Secretary is a Cyprus Resident for practical reasons such as instant signing of company documents.
The Registered Office of the company must be located in Cyprus and thus, have a Cyprus address.
